Documents required for company registration from Directors and Shareholders

Directors and shareholders of the company need to submit the following documents:

Proof of Identity

To establish the identity of the director and/or shareholder, you can submit the following documents:

For Indian Nationals

  1. PAN or Permanent Account Number Card
  2. Aadhaar Card
  3. Voter’s ID Card or Driving License or Passport

Further, the director or shareholder must self-attest these documents.

For Foreign Nationals

A passport is mandatory. The passport needs to be notarised or notarised cum apostilled as the case may require. Further, some passports are in a foreign language, in such cases, it is important that the director or shareholder use an official translator and get it translated into English. Further, you must get the translated version notarized or Apostilled too. Lastly, if the passport does not carry the date of birth of the holder, then an additional document specifying it is a must. This document also needs notarization.

Proof of Address

Apart from the ID proof, the proposed directors and shareholders must submit a proof of address. The submitted document must carry the director’s or shareholder’s name as mentioned in the ID proof document. Further, the document must have the current address. It should also be less than two months old. Here is a list:

For Indian Nationals

  • Telephone Bill
  • Mobile Bill
  • Electricity Bill
  • Bank passbook/statement (not more than 2 months old)

Further, the director or shareholder must self-attest these documents.

For Foreign Nationals

Apart from the notarized or apostilled copy of the passport, foreign nationals must submit one of the following documents as address proof:

  • Telephone Bill
  • Mobile Bill
  • Electricity Bill
  • Bank passbook/statement

The director/shareholder needs to get these documents notarized or apostilled too. Further, the document must carry the name as mentioned on the passport. Also, the document cannot be more than one year old.

Photographs:

Each director or shareholder must also submit a passport-sized photograph.

Documents Required for Company Registration from the Company

Registered Office Address Proof

If rented:

You need to submit a copy of the:

  1. Rent agreement or lease deed
  2. Utility Bill in the name of the owner of the premise which should not be older than 2 months

If self-owned:

You need to submit a copy of the:

  1. No Objection Certificate or NOC from the owner for use of premise as Registered Office
  2. Utility Bill in the name of the owner of the premise which should not be older than 2 months

Other Documents required for Company Registration

  • Specimen Signature of the Authorised Signatory for registration under EPFO, ESIC and opening of Bank Account of the Company.
  • Pan Undertaking of foreign Shareholders/Directors
  • Consent of all nominees
  • Declaration in form INC-14 and INC-15 (for Section-8 companies)
  • Also, the interest of the first directors in other entities.

Note:

If the shareholder is a corporate entity or an artificial judicial person, then you must submit the following additional documents:

  • The Certificate of Incorporation of the Body Corporate along with address proof.
  • Also, the resolution allowing it to subscribe to the shares of the company.
