Documents Required for LLP Registration in India

A Limited Liability Partnership or LLP merges the features of a company and a partnership firm to create a unique entity. Further, it has the flexibility of a partnership firm and the legal rights of a company. It also has fewer compliance requirements yet offers limited liability as in a company. Since both Indian and foreign nationals can register an LLP, we will list the document requirements for them separately.

For Indian Nationals

If an Indian national is a partner in an LLP, then he needs to submit the following documents:

PAN Card

All proposed partners of the LLP must submit a copy of their PAN Card.

Proof of Identity

All the partners must submit a self-attested valid proof of Identity which can be anyone out of these documents:

  1. Voter Id
  2. Driving License
  3. Passport

Proof of Address

All partners must provide a valid proof of address. The address proof document must carry the same name as on the PAN Card. Further, the document should be less than two months old. They need to submit one of these documents:

  1. Electricity Bill
  2. Telephone Bill
  3. Mobile Bill
  4. Bank Statement/Bank Passbook with latest entry

For Foreign Nationals

If a foreign national is a partner in an LLP, then he needs to submit the following documents:

Passport

For foreign nationals, the passport is a mandatory document as a proof of identity. Further, the partner must ensure that he gets the passport notarized or apostilled in the country of issue. Also, if the passport is in a foreign language (not English), then the partner must use an official translator to translate it into English, Further, he must get it notarized or apostilled. Further, sometimes foreign passports don’t carry the date of birth of the passport holder. In such cases, the partner must submit an additional document to verify his date of birth.

Proof of Address

All partners must provide a valid proof of address. Foreign nationals must ensure that the document is notarized or apostilled. The address proof document must carry the same name as on the Passport. Further, the document should be less than one year old. They need to submit one of these documents:

  1. Electricity Bill
  2. Mobile Bill
  3. Telephone Bill
  4. Bank Statement/Bank Passbook with latest entry

Proof of Registered Office

Apart from the documents mentioned above, the partners must also submit documents with respect to the registered office of the LLP. The list includes:

  • Rent agreement, if the property is taken on rent; or
  • No-Object Certificate (NOC) from the landlord. This is an authorization from the landlord to use the premises as the registered office of the LLP; AND
  • Copy of Utility Bill of the premises in the name of the landlord like gas/electricity/telephone bill. Also, the document needs to be less than two months old.

LLP Subscriber Sheet

Once the partners receive approval for the LLP name, they need to start preparing the documents needed for registration. Apart from the documents mentioned above, they also need the LLP Subscriber Sheet along with the consent letter of all the partners. Further, a professional CA or CS or cost accountant must witness the sheet.
